Job Description

Join a stellar team of leaders and experts in blockchain technology, cryptography, infrastructure, and security to build the backbone of blockchain wallet infrastructure for the next financial era. We’re hiring a Commercial Counsel to own and drive all contract-related legal matters at Dfns. You’ll report to the CEO and work closely with Sales, Product, and Operations to support our growth internationally. This is a hands-on role. You’ll draft, review, and negotiate contracts and NDAs with clients, partners, and vendors, build scalable templates and processes, and ensure we stay compliant with applicable regulations in fintech and blockchain. You’ll help deals close faster while protecting the company’s interests, balancing legal risk with business goals.

Responsibilities

  • Draft, review, and negotiate commercial contracts (SaaS agreements, NDAs, MSAs, DPAs, partnership deals, vendor contracts).

  • Work closely with sales and product teams to support deal flow and business growth.

  • Oversee the legal aspects of the vendor onboarding process, including conducting Know Your Business (KYB) and other due diligence checks.

  • Develop and maintain playbooks, templates, and scalable contract processes.

  • Advise internal stakeholders on contract risks, obligations, and compliance.

  • Ensure alignment with data protection, financial, and crypto regulatory frameworks.

  • Collaborate with external counsel when needed and manage workflows efficiently.

Requirements

  • 5+ years’ experience in commercial or contracts law, preferably in-house.

  • Admitted to practice law in France, EU, or US (multi-jurisdictional expertise a plus).

  • Strong track record drafting and negotiating complex B2B commercial agreements.

  • Familiarity with SaaS, fintech, or blockchain contracts preferred.

  • Excellent communication and stakeholder management skills.

  • Pragmatic mindset with the ability to balance speed, risk, and business priorities.

  • Fluent in English; French is a plus.
